Annex No. 4 – Referral Program Terms

to the Antarctic Wallet Platform Terms of Use
Edition dated 20 October 2026.
This is a translation of the Russian text; in the event of any discrepancy, the Russian text prevails (clause 20.1 of the Offer).
1. General Provisions
1.1. These Terms constitute Annex No. 4 to the Antarctic Wallet Platform Terms of Use (the “Offer”) and form an integral part thereof. Terms are used in the meanings defined in the Offer.

1.2. A User who has completed identification to the extent established by the Company may be a participant in the referral program (a “Participant”). Participation is voluntary and is effected by using the personal referral link or referral code available in the Platform interface.

1.3. A First-Level Referral is a User who has registered an Account via the referral link or using the referral code of the Participant. A Second-Level Referral is a User who has registered an Account via the referral link or using the referral code of a First-Level Referral of the Participant, and a Third-Level Referral is a User who has registered an Account via the referral link or using the referral code of a Second-Level Referral of the Participant. First-Level, Second-Level and Third-Level Referrals are hereinafter collectively referred to as “Referrals,” unless otherwise specified. Referral levels are determined on the basis of the current assignment, taking Reassignments into account. A Referral is assigned to the Participant at the moment of registration. The assignment of a Referral may be changed only as a result of a Reassignment in accordance with Section 13 of the Offer or by decision of the Company upon detection of abuse (clause 5.1). A User registering via a referral link or using a referral code is notified of the possibility of Reassignment (clause 13.10 of the Offer).

1.4. A reward accrues to the Participant on transactions of the Participant’s First-Level, Second-Level and Third-Level Referrals in the amount established by Section 2. No reward accrues on transactions of persons referred by Third-Level Referrals.
2. Reward Rate
2.1. Calculation Base. The reward is calculated solely on the amount of the Company’s fee actually received by it on transactions of the relevant Referral. No reward accrues on the transaction amount, on the amount of a Balance top-up, or on fees and charges of blockchain networks, Issuers, Service Providers, banks and payment systems. No reward accrues on the Company’s fee for executing a Reassignment Request (clause 13.13 of the Offer).

2.2. Accrual Condition. A reward accrues only on transactions of Referrals that have actually been completed and paid for. No reward accrues on transactions that have been canceled, reversed or disputed or in respect of which a refund has been made, and any reward previously accrued shall be debited from the Balance of the Participant to whom it was accrued.

2.3. Active Referral. A Referral is deemed active if the Referral has completed transactions totaling at least 5 (five) USDT over the last 90 (ninety) calendar days. A Referral loses active status if the Referral has no transactions during that period and regains it upon resuming transactions.

2.4. Rank. A Participant’s rank is determined by the number of active First-Level Referrals and is reviewed by the Company automatically; the current rank is displayed in the Platform interface. Reassigned Referrals are counted toward the rank of the Receiving Participant from the date of Reassignment and are not counted toward the rank of the Transferring Participant (clause 13.9 of the Offer). No limit is set on the number of Referrals that may be referred.

2.5. Second and Third Levels. The reward rate specified in the table applies to transactions of First-Level Referrals. For a Participant who has at least 2 (two) active First-Level Referrals, a reward also accrues on transactions of Second-Level Referrals at a rate of 4% and on transactions of Third-Level Referrals at a rate of 1%, regardless of rank. Each User is counted at only one level of only one Participant.
3. Accrual and Payment
3.1. Rewards accrue in USDT. The Company does not use internal settlement units or tokens.

3.2. Rewards are credited to the Participant’s Balance at the frequency displayed in the Platform interface. The minimum crediting amount is displayed in the Platform interface; a reward that has not reached the minimum amount is recorded and credited once that amount is reached.

3.3. Credited rewards are available to the Participant on an equal basis with other Supported Assets on the Balance and may be used to carry out transactions or withdrawn in the manner provided for by the Offer.

3.4. Information on accrued rewards and on the number and status of Referrals is displayed in the Platform interface in anonymized form.
4. Nature of the Reward
4.1. The reward is paid out of a share of the fee income actually received by the Company. The reward does not constitute income from the placement of funds, investment income, or a guaranteed or periodic payment, is not paid for the mere fact of referring persons, and is calculated solely on the Company’s fee on transactions of Referrals that have actually been completed.

4.2. The referral program is not a guarantee of income. The Company does not guarantee any amount of reward and does not undertake any obligation to ensure that it is received.

4.3. Participation in the referral program does not constitute business activity carried out on behalf of or in the interests of the Company. The Participant is not an agent, representative or employee of the Company and may not act on its behalf.
5. Restrictions and Abuse
5.1. The Company may refuse to accrue or pay a reward, debit a previously accrued reward, exclude the Participant from the program and apply the measures provided for in clause 6.8 of the Offer upon detecting abuse, which includes, in particular: (i) the creation and use of multiple Accounts by one person, as well as self-referral schemes; (ii) the registration of Referrals using false information or information of third parties without their knowledge; (iii) carrying out transactions solely for the purpose of obtaining a reward, including counter and circular transactions between related Accounts; (iv) the use of automated tools, bots and other technical means for mass registration; (v) distributing the referral link by means that violate the law, including sending messages without the recipients’ consent; (vi) posting information about the Platform on resources containing unlawful content; (vii) abuse in connection with Reassignment as provided for in clause 13.11 of the Offer.

5.2. The determination of whether abuse has occurred is made by the Company on the basis of the information available to it. The Company does not disclose the methods it uses to detect abuse.
6. Requirements for Distributed Information
6.1. A Participant who distributes information about the Platform undertakes to comply with the requirements of the legislation on the advertising of virtual assets and the requirements of clause 12.4 of the Offer.

6.2. The following are prohibited in distributed materials: promises or guarantees of profitability or effectiveness of transactions with virtual assets; information about luxury items, bonuses and discounts; presenting transactions with virtual assets as an easy way to get rich; claims that such transactions are important for achieving public recognition or personal or professional success; images of minors; statements exaggerating the likelihood of earning income or understating the risk of total loss of funds; statements condemning non-participation in the circulation of virtual assets.

6.3. Materials containing advertising of virtual assets or of the Company’s activities are subject to prior written approval by the Company.

6.4. The Participant is independently responsible for compliance with the legislation applicable to the Participant and to the materials the Participant distributes, including the legislation of the state of the Participant’s citizenship and permanent residence.

6.5. It is prohibited to offer Reassignment or to post announcements on the acquisition or disposal of Referrals outside the Marketplace, or to accompany Reassignment Listings with promises of income (clause 13.11 of the Offer).
7. Amendment and Termination
7.1. The Company may at any time amend these Terms or suspend or terminate the referral program by posting the relevant information on the Platform.

7.2. Changes to reward rates apply to rewards accrued after the changes take effect and do not entail recalculation of previously accrued rewards.

7.3. Upon termination of the referral program, previously accrued but unpaid rewards are credited to the Participant, except in the cases provided for in clause 5.1.

7.4. Upon termination of the Agreement with the Participant, the accrual of rewards ceases; rewards accrued before the date of termination of the Agreement are included in the remaining Balance (clause 15.5 of the Offer).
8. Taxes
8.1. The Participant shall independently perform obligations relating to the taxation of rewards received, as well as of income under agreements concluded in connection with Reassignment, in accordance with the legislation applicable to the Participant. The Company does not prepare tax reports on behalf of the Participant and does not withhold taxes (clause 11.6 of the Offer).
